Terms of Service

1. Agreement to Terms

By accessing or using Payflow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using any part of the Service, you confirm that you are at least 18 years old and have the legal authority to enter into this agreement.

2. Description of Service

Payflow is an expense management platform that helps businesses capture receipts, manage approvals, track spending, and sync financial data with third-party accounting tools. The Service is provided on a subscription basis with plans ranging from a free Starter tier to paid Professional and Enterprise plans.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials. All activity that occurs under your account. Notifying Payflow immediately at support@payflow.io if you suspect unauthorized access to your account.

Payflow reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Subscription Plans and Billing

4.1 Plans Payflow offers three subscription tiers: Starter (free), Professional, and Enterprise. Features available under each plan are described on our Pricing page and may be updated from time to time.

4.2 Billing Paid plans are billed on a monthly or annual basis, as selected at checkout. Annual plans are billed upfront for the full year. By providing payment information, you authorize Payflow to charge your payment method on a recurring basis until you cancel.

4.3 Price Changes Payflow may change subscription prices at any time. We will provide at least 30 days' notice before any price change takes effect for existing subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.4 Refunds Monthly plans are non-refundable. Annual plans may be eligible for a prorated refund within 30 days of purchase. Refund requests should be submitted to support@payflow.io.

5. Free Trial

Payflow may offer free trials of paid plans from time to time. At the end of a free trial, your account will automatically convert to the selected paid plan unless you cancel before the trial period ends. You will not be charged during the trial period.

6. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. After cancellation, your account will revert to the free Starter plan. Payflow does not delete your data upon cancellation — your data will remain accessible on the Starter plan subject to its limitations.

7. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations. Submit false, fraudulent, or misleading expense information. Attempt to gain unauthorized access to any part of the Service or its infrastructure. Interfere with or disrupt the Service or servers connected to it. Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service. Use the Service to store or transmit malicious code. Resell or sublicense access to the Service without Payflow's written consent.

Payflow reserves the right to suspend or terminate access for any user who violates these provisions.

8. Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, and icons — are owned by Payflow and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. User Data and Content

You retain ownership of all data and content you submit to the Service ("User Content"). By submitting User Content, you grant Payflow a limited license to store, process, and display that content solely for the purpose of providing the Service to you.

Payflow does not sell your User Content to third parties. Our use of your data is governed by our Privacy Policy.

10. Third-Party Integrations

The Service integrates with third-party tools including QuickBooks, Xero, Stripe, Slack, Gmail, and others. These integrations are provided for your convenience and are subject to the terms and privacy policies of the respective third parties. Payflow is not responsible for the availability, accuracy, or conduct of any third-party service.

11. Service Availability and Uptime

Payflow aims to maintain 99.9% uptime as described in our Service Level Agreement for Enterprise customers. However, we do not guarantee uninterrupted access to the Service. Payflow may perform scheduled or emergency maintenance that temporarily affects availability. We will provide advance notice of scheduled maintenance where reasonably possible.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Payflow does not warrant that the Service will be error-free, uninterrupted, or free of viruses or other harmful components. To the maximum extent permitted by applicable law, Payflow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Payflow shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of or inability to use the Service, even if Payflow has been advised of the possibility of such damages.

Payflow's total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to Payflow in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Payflow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses — including reasonable legal fees — arising from your use of the Service, your User Content, or your violation of these Terms.

15. Modifications to the Service

Payflow reserves the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will make reasonable efforts to notify users of significant changes. Continued use of the Service after any modification constitutes acceptance of the updated Service.

16. Modifications to These Terms

Payflow may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the courts located in Delaware.
